Terms and Conditions

These Terms & Conditions (“Terms”) apply to all orders placed with The Ribbon Factory (“we”, “our”, “us”) by the customer (“Client”, “you”, “your”). By placing an order, you acknowledge and agree to the following:

1. Orders & Acceptance

  • All orders must be submitted in writing via our website, email, or other approved method.

  • Orders are confirmed only upon receipt of payment or official approval from the Client.

  • We reserve the right to refuse or cancel an order where information is incomplete, inaccurate, or misleading.

2. Artwork & Proofs

  • The Client is responsible for supplying accurate and print-ready artwork files unless otherwise agreed.

  • Digital proofs will be provided for approval before printing. The Client must review and confirm all details, including design, layout, spelling, logos, and sizing.

  • Approval of proofs constitutes acceptance of the design, and The Ribbon Factory will not be liable for errors or omissions once production has commenced.

3. Colour Matching & Print Variance

  • Colours may appear differently on digital screens compared to printed fabric. Variations between previews and final products are expected.

  • Unless the Client orders and pays for a special batch ink mix for exact Pantone colour matching, we will use our standard ink range to achieve the closest possible match.

  • Due to limitations of inks, substrates, and print processes, a variance of up to 20% in colour is deemed acceptable and does not constitute grounds for rejection, refund, or reprint.

4. Materials & Production

  • Our ribbons and fabrics are subject to slight variations in weave, texture, and finish.

  • Small differences in print positioning, alignment, and spacing may occur due to the nature of fabric printing. These variances are considered within tolerance.

  • The Ribbon Factory makes every effort to ensure high-quality results but cannot guarantee absolute uniformity across large or repeat batches.

5. Lead Times & Delivery

  • Production lead times commence only once artwork is approved and payment is received.

  • Estimated turnaround times are provided as a guide only and may vary depending on workload, supply chain, and courier delays.

  • The Ribbon Factory is not responsible for delivery delays caused by third-party carriers or events beyond our reasonable control.

6. Payment Terms

  • Orders must be paid in full prior to production unless otherwise agreed in writing.

  • Prices are quoted in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise.

  • Invoices are payable within the timeframe specified. Late or overdue payments may result in delayed production or withheld delivery.

7. Returns, Refunds & Cancellations

  • As all products are custom-made, orders cannot be cancelled or refunded once production has commenced.

  • Claims for defective goods must be made in writing within 7 days of delivery. The Ribbon Factory will, at its discretion, repair, replace, or refund the affected goods.

  • Variances in colour, fabric texture, or within the acceptable tolerances outlined above do not qualify as defects.

8. Intellectual Property

  • The Client warrants that any artwork, logos, or text provided does not infringe the rights of third parties.

  • The Ribbon Factory accepts no liability for unauthorised use of copyrighted or trademarked material supplied by the Client.

  • Unless otherwise agreed, The Ribbon Factory reserves the right to photograph, display, or publish products created for Clients for promotional purposes.

9. Liability

  • To the maximum extent permitted by law, The Ribbon Factory’s liability is limited to the cost of the goods supplied.

  • We are not liable for indirect, incidental, or consequential losses, including delays, missed deadlines, or business interruption caused by the use of our products.

10. Force Majeure

  • The Ribbon Factory will not be liable for delays or failure to perform obligations due to events beyond our reasonable control, including but not limited to supply shortages, natural disasters, labour disputes, or transport disruptions.

11. Governing Law

  • These Terms are governed by the laws of Queensland, Australia, and both parties submit to the exclusive jurisdiction of its courts.
